1. It is acknowledged by the parties that during the period of the Contractor/Student Observer/Pre-employment Obersever Engagement the Contractor/Student Observer/Pre-employment Obersever may have access to Confidential Information relating to Health Select Services (A.C.N. 116 771 101) trading as Health Select ('the Company'). The Contractor/Student Observer/Pre-employment Obersever shall keep the secrets of the Company and shall not at any time divulge any of its correspondence, client details, accounts, dealings, connections or secrets or any other confidential information as set out below. The Contractor/Student Observer/Pre-employment Obersever shall not directly or indirectly solicit or endeavour to obtain the custom of any person, firm or corporation who or which shall during such engagement have been a customer or competitor of Health Select Services (A.C.N. 116 771 101) trading as Health Select.


2. "Confidential information" in the context of the Company or any Contractor/Student Observer/Pre-employment Obersever or member of the Company group means:


2.1. Technical and other information or any collation of information used, developed or required which is not in the public domain and which might provide a commercial advantage over any competitor.

2.2. Business transactions or associations with other persons or bodies including technical, commercial or financial arrangements.

2.3. Existing and potential customers, clients, suppliers, employers, contractors and consultants, licensors and licensees.

2.4. Drawings, specifications and designs relating to the actual or proposed design, development, manufacture, production, registration, promotion, distribution, marketing, performances and sale of products.

2.5. Experimental, manufacturing process, analytical, packaging, product, warehousing, quality control, quality assurance, and marketing specifications standards, procedures, processes, methods, instructions and techniques.

2.6. Samples, prototypes formulae, recipes, application, technologies, advice as to necessary equipment, general requirements used, acquired or developed.

2.7. Data and intellectual property.

2.8. Drawings flow charts, circuits, blueprints, diagrams, charts and flow sheets used, acquired or developed.

2.9. Statements, monographs, writings, of any kind, options, reports, manuals, books, reference data, trade data, computer data and unwritten data used, acquired or developed.

2.10. Computer hardware, software and programs used or acquired or developed.

2.11. Any confidential information or knowledge created by the Contractor/Student Observer/Pre-employment Obersever during the term of this engagement.

The contractor, student observer and/or pre-employment observer (as listed above) wishing to further their knowledge by observing the various operations of Health Select Services Pty Ltd, hereby indemnifies and undertakes to keep indemnified, for the duration of their shift, beginning from the time this form is submitted until the last incident for the crew and their subsequent return to the branch listed above, on Health Select Services Pty Ltd, its staff and Ambulance Victoria against all actions, suit, proceedings, claims and demands whatsoever which may be brought about, made or prosecuted against them as a result of anything done, suffered or omitted to be done by the observer whilst acting as an observer in the pursuance of the permission granted by any of the above persons, whether such act or omission on the part of Health Select Services Pty Ltd is negligent or otherwise.

The contractor, student observer and/or pre-employment observer must at all times maintain patient confidentiality as per Health Select Services Pty Ltd and Ambulance Victoria policy.

The contractor, student observer and/or pre-employment observer must at all times remain an observer and must not participate in any patient care, patient contact, or any practices undertaken by Health Select Staff in the course of their duty.
